Privacy Policy

This Privacy Policy describes how RX TRADER LLC, doing business as RxTrader ("RxTrader," "we," "us," or "our"), collects, uses, and shares information in connection with the RxTrader marketplace platform (the "Platform"). The Platform is a business-to-business service used by licensed pharmacies. It is not directed to consumers or patients.

No patient information. RxTrader does not collect, request, store, or transmit any patient name, prescription, prescription number, diagnosis, or other patient-identifying or clinical information, and does not seek to receive any protected health information. Members must not submit any such information to the Platform. Because RxTrader does not handle protected health information, RxTrader does not act as a covered entity or a business associate under the Health Insurance Portability and Accountability Act ("HIPAA") in connection with the Platform.

1. Information We Collect

We collect the following categories of information from and about Member pharmacies and their authorized users:

  • Business and account information, including legal business name, physical address, telephone number, and email address;
  • Licensure and credentialing information, including state pharmacy license number and state of issuance, Drug Enforcement Administration registration, National Provider Identifier, National Council for Prescription Drug Programs number, and the name and license of the pharmacist-in-charge;
  • Authorized-user information, including the names, titles, and contact details of the individuals who register for and use the account;
  • Transaction information, including National Drug Code, lot number, expiration date, quantity, product condition, price, order records, shipping and tracking information, and buyer and seller identifiers;
  • Payment information, which is collected and processed by our third-party payment processor, Stripe; bank and payment-account details are handled by Stripe and not stored by RxTrader except as needed to administer the account; and
  • Usage and device information, including account activity, log-in records, actions taken on the Platform, timestamps, internet protocol address, and similar technical data, including audit logs maintained for compliance purposes.

2. How We Use Information

We use information to operate, maintain, and secure the Platform; to verify Member eligibility and licensure; to facilitate and record transactions between Members; to process payments; to maintain records required for compliance, audit, and legal purposes; to communicate with Members; to detect, prevent, and address fraud, security issues, and misuse; and to comply with applicable law and legal process.

3. How We Share Information

We share information as follows:

  • With the counterparty to a transaction, to the extent necessary to complete and document that transaction;
  • With service providers that support the Platform, including Stripe, credential-verification vendors, and hosting and technology providers, who are authorized to use the information only to provide services to us;
  • With regulators, law enforcement, or other parties when we believe disclosure is required by law, subpoena, or legal process, or is necessary to protect the rights, safety, or property of RxTrader, our Members, or others; and
  • In connection with a merger, acquisition, financing, or sale of assets, subject to appropriate protections.

We do not sell information, and we do not display third-party advertising on the Platform.

4. Data Retention

We retain account, credentialing, and transaction records for at least six years, or longer where required by applicable law or reasonably necessary for compliance, audit, dispute-resolution, or recordkeeping purposes.

5. Data Security

We maintain administrative, technical, and physical safeguards designed to protect information, including encryption in transit, restricted access to systems and data, and logging of administrative actions. No system is completely secure, and we cannot guarantee absolute security. Members are responsible for safeguarding their account credentials and for restricting access to authorized users.

6. Third-Party Services

The Platform relies on third-party services, including Stripe, verification vendors, and hosting providers. Those services process information under their own terms and privacy practices. Members are encouraged to review the privacy practices of any third-party service with which they interact.

7. State Privacy Rights

Certain U.S. states have enacted privacy laws that grant residents specific rights regarding their personal information. To the extent such laws apply to the business-to-business information we collect, we honor requests to access, correct, or delete personal information, subject to applicable exceptions and our legal obligations. 8. Changes to this Policy

We may update this Privacy Policy from time to time. We will post the updated policy on the Platform and update the effective date. Continued use of the Platform after the updated policy takes effect constitutes acceptance of the updated policy.
